The Internet Business Unit of Waymark Communications Adds

--------------------------------------------------------------------------------
DALLAS, Tex., April 17, 1998 -- Waymark Communications,
http://www.waymark.net, today announced
the acquisition of Texas CyberConnect, http://www.txcc.net,
a rapidly expanding Dallas-Fort Worth-based provider of dial-up
and dedicated Internet access, Web site development and data
warehousing. The terms of the transaction were not disclosed.
According to Mark W. Jones, President of Waymark Internet, "this,
our third acquisition of an Internet company, will substantially
increase Waymark's revenue and customer base as well as further
expand its market share in the Fort Worth Downtown Business
District so heavily targeted by Texas CyberConnect. Waymark
intends on providing enhanced services not currently available
to Texas CyberConnect customers. This should improve the revenues
expected from this transaction." Mr. Jones added, "you can expect
to see other Waymark acquisitions of telecommunications companies
throughout Texas and the Southwest in the upcoming months."
“Texas CyberConnect's excellent reputation for service and reliability
has contributed to its consistent growth in customer base,"
commented Mr. Jones. “Individual customers will continue to
receive high-quality local access and support, enhanced with
new and innovative services, while business and corporate customers
gain access to a wide variety of broadband voice and data telecommunications
services."
Pam Friedman, former Chief Executive of Texas CyberConnect,
commented: “This is an exciting opportunity for Texas CyberConnect
and its customers. The combined resources of Waymark, its subsidiaries,
and now the addition of Texas CyberConnect’s customers, highlight
the evolution of competition in the telecommunications industry.
Through this acquisition, increased support and service can
be offered to the collective customer base."
